Great Home Expo Exhibitor Agreement
FEES AND DEPOSIT:
The rental fee for an Exhibit Space during the Event is as indicated in Exhibitor Registration. A deposit of $450 for the rental fee per Exhibit Space rental is due upon completion of Exhibitor Registration. The remainder of the fees are due in full on April 1, 2026. No refunds will be made after. If fees are not paid in full by the final payment due date, Sponsor may offer to rent the Exhibit Space to another party. The Sponsor reserves the right to refuse any exhibit or Exhibitor.
EXHIBIT SPACE ASSIGNMENT:
Sponsor shall assign Exhibit Space in the Exhibit Facility based on the date of the submitted Exhibitor Registration and receipt of deposit. One Exhibit Space is 10’x10’; a double space is 20’X10’. The Event will be held in the Arena and Concourse areas of the venue. Sponsor will endeavor to honor location requests but reserves the right to assign Exhibit Space in the best interests of the Event. Sponsor reserves the right to relocate an Exhibitor at its discretion. Exhibitor understands and agrees that it may be located next to another Exhibitor offering similar or the same services. Sponsor’s decision regarding location of Exhibit Space is final.
UTILITIES:
Exhibit Space does not come with electricity. If electricity is needed, a request may be made in Exhibitor Registration. A $75.00 additional fee applies for standard electrical access; two outlets at 20 amps. Separate requests may be made for additional utilities, at additional cost to be determined and collected by Cross Insurance Center.
SET UP/BREAK DOWN AND EXHIBIT HOURS:
Set-up hours will be Thursday, May 14th – 8AM-5PM. Each Exhibitor will be assigned a specific set-up time within this window, which will be communicated in advance by the Sponsor. Breakdown hours will be Sunday, May 17th – 3PM-7PM. Each Exhibitor will be assigned a specific breakdown time to ensure safe and orderly load-out. Exhibit hours will be Friday, May 15th – 12PM-6PM; Saturday, May 16th – 10AM-6PM; and Sunday, May 17th – 10AM-3PM. The Sponsor reserves the right to make such modifications in the exhibit hours as may be necessary to meet program needs.
USE OF AISLES:
The aisles, passageways and overhead spaces remain strictly under control of the Sponsor and no signs, decorations, banners, etc., will be permitted on them except by special permission of the Sponsor. Exhibits shall be so installed that they will in no case project from the background beyond 42″ so view of neighboring exhibits is not obstructed. Projectors and all other apparatus must conform to local municipal and Cross Center regulations. Presentations must be so arranged that aisles are not blocked.
IMPROVEMENTS:
All structural work such as shelving, standards, display racks, spotlights, signs, etc., must be approved. All decorations must be flame-proofed and subjected to inspection by municipal officials. No flammable fluids or substances may be used or displayed.
SUBLETTING/ASSIGNING SPACE:
The Exhibit Space contracted for is to be used solely for the Exhibitor whose name appears on the registration, and it is agreed that the Exhibitor will not (i) sublet or assign any portion of its Exhibit Space or (ii) request badges for persons not employed by the Exhibitor.
CANCELLATION BY EXHIBITOR:
Exhibitors desiring to cancel their participation may only do so by giving notice in writing to the Sponsor with evidence of receipt by Sponsor. All fee deposits are non-refundable and only payments made in excess of these will be subject to a refund prior to April 15, 2026. Written notice of cancellation received after April 15, 2026, will result in 100% of all paid fees to be forfeited by the Exhibitor. These amounts are considered to be liquidated and agreed upon damages, for the injuries the Sponsor will suffer as a result of the Exhibitor’s cancellation. This provision for liquidated and agreed upon damages is a bona fide provision and not a penalty.
BY SPONSOR:
In the event that participation is cancelled by Sponsor for any reason, deposits are nonrefundable and only payments made in excess of these will be subject to a refund. If the event is cancelled due to COVID-19 related reasons full refunds will be provided. In the event of failure or inability to fulfill this contract, or to furnish space due to war, fire, strikes, authority of the law, act of God, or for any other cause or reason, the Sponsor agrees to return to the exhibitor all deposits or other monies paid hereunder, except that Sponsor shall have the right to retain such portion of the deposits or other monies as has been expended in preparation to perform this Agreement, and thereupon this agreement shall be deemed cancelled by mutual consent and the Sponsor shall be relieved from all responsibilities thereafter.
CANVASSING:
Advertising materials or signs of firms other than those that Exhibitor has registered to use Exhibit Space for are prohibited. Canvassing or conferences, except by Exhibitor, are prohibited. Canvassing outside of the Exhibit Space is forbidden. Exhibitors are not permitted to allow use of their Exhibit Space by any person other than the exhibiting firm.
VIOLATION OF RULES:
Conduct deemed to be unethical by the Sponsor or an infraction of rules on the part of the Exhibitor or its representatives, or both, will subject the Exhibitor or its representative to sanctions which may be imposed by the Sponsor including, without limitation, (i) monetary penalties not to exceed $1000.00, and/or (ii) dismissal from the show, in which event it is agreed that no refund will be made by the Sponsor and further that no demand for redress will be made by the Exhibitor or its representatives, and/or (iii) refusal to allow Exhibitor to exhibit at future shows. Rules of Conduct are attached hereto as Exhibit A and incorporated herein by reference.
SECURITY AND INSURANCE:
The Exhibitor agrees to make no claim for any reason whatsoever against the Sponsor or Exhibit Facility for loss, theft, damage or destruction of goods; nor for any injury to himself or his employees while in the Exhibit Facility; nor for any damage of any nature or character, including any damage to his business by reason of the failure to provide space for the exhibit, or the removal of the exhibit; nor for any action of any nature of the exhibit management, or its employees or agents; nor for failure to hold the show as scheduled. The Sponsor will endeavor to protect Exhibitors’ materials by providing security during the closed hours of exhibits. Exhibitors are urged to insure their property against fire and theft.
LIABILITY:
Exhibit Spaces are provided with the understanding that the Exhibit Facility will act for the Exhibitor and its representatives only in the capacity of agent, and not as principal, and that neither the Exhibit Facility nor the Sponsor assume any liability whatsoever for damages for any act of omission or commission in connection with said agency, and the Exhibitor and its representatives hereby hold harmless the Sponsor and the Exhibit Facility from any and all liabilities for loss arising from any cause. Furthermore, Exhibitor shall indemnify Sponsor, its employees and/or agents from and against any and all claims, damages, losses and expenses including reasonable attorney’s fees arising out of this Agreement or occurring or resulting to Exhibitor property. Exhibitors or their agents shall not injure or deface walls, floors or carpets of the building, or any equipment or other furniture. Exhibitors are forbidden to drive tacks, nails or screws into the walls or woodwork. When such damage appears, the Exhibitor is liable to the owner of the property so damaged.
INSURANCE:
Exhibitor shall purchase and maintain insurance naming Sponsor and Exhibit Facility as additional insured with respect to all operations and will protect them from all claims which may arise out of or result from the acts, negligence or inaction of the Exhibitor or Exhibitor Visitors, and shall include as a minimum General Liability and Auto Liability Insurance to cover bodily injury/property damage in the amount of $500,000. A Certificate of Insurance demonstrating coverage for the Event Dates must be submitted to Sponsor no later than February 28, 2025.
EARLY DEPARTURE:
Exhibitor agrees to be present during the entire length of the Event. Any departure of an Exhibitor, prior to the scheduled close of the Event, will result in no future returns to Great Home Expo LLC productions.
ADMISSION TO EVENT AREA:
Only Exhibitors, Event Facility staff, Sponsor, and ticket-holding guests will be permitted in the Event area. Exhibit personnel must present Exhibitor Badge for entry. Exhibitor will receive five Exhibitor Badges with registration and can purchase additional Exhibitor Badges at $3.00 per badge if needed.
GOVERNING LAW:
The parties agree that this Agreement has been executed and delivered in the State of Maine and its validity, interpretation, performance, and enforcement shall be governed by the laws of the State of Maine. The parties further agree that any disputes between them may be heard only in the state courts in the State of Maine, and the parties hereby consent to venue and jurisdiction in those courts.
ENTIRE AGREEMENT:
This Agreement constitutes the entire agreement and understanding of the parties with respect to the subject matter hereof and supersedes all prior agreements between the parties and all prior or contemporaneous representations, whether written or oral. The parties agree that there were no inducements or representations for the completion of this Agreement except as set forth in writing herein.
SEVERABILITY:
If, for any reason, any provision of this Agreement shall be invalid, illegal, or unenforceable in any respect, such invalidity, illegality, or unenforceability shall not affect any other provision of this Agreement, and each such other provision shall continue in full force and effect to the fullest extent permitted by law.
MODIFICATION AND AMENDMENT:
This Agreement may be modified or amended by agreement of the parties hereto; provided, that no such modification or amendment shall be effective unless in writing and confirmed by the Sponsor. No term or condition of this Agreement shall be deemed to have been waived, nor shall there be any estoppel against the enforcement of any provision of this Agreement, except by written instrument of the party charged with such waiver or estoppel. Any such written waiver shall be limited to the act or provision specifically stated therein and shall not be deemed to be continuing unless specifically stated therein.
SECTION HEADINGS:
The section headings herein are included solely for convenience of reference and shall not control the meaning or interpretation of any provision of this Agreement.
Definitions:
The Great Home Expo (hereafter referred to as “Event”) is scheduled to be held May 14-17, 2026, at the Cross Insurance Center, 515 Main Street, Bangor, Maine (the “Exhibit Facility”). “Exhibit Space” shall mean that area of the Exhibit Facility that is set aside for Exhibitor’s exclusive use, as described below. It does not include any utilities, nor does it include any common areas of the Exhibit Facility. Exhibit space includes 8-foot back drape, 3-foot-high draped side rails, one 8-foot table, two chairs, and a trash can. The term “Sponsor” includes The Great Home Expo’s officers, directors, employees and assigns, unless the context requires otherwise. The term “Exhibitor” means, collectively, (i) the company or person that applied to rent Exhibit Space and agreed to enter into this Agreement upon completion of registration and (ii) each of its officers, directors, shareholders, employees, contractors, agents, representatives and/or invitees, as applicable.
ACKNOWLEDGEMENT:
By checking the acknowledgement box during Exhibitor Registration, the Exhibitor affirms that they have read, understood, and agreed to abide by the terms of this Agreement. This Agreement shall be deemed accepted upon submission of Exhibitor Registration and deposit payment.
